American food and flavorings producer McCormick & Company plans to purchase a minimum of 76.55 percent of Unilever Pakistan Foods Limited to gain control of the local business, according to an announcement issued on October 21. Arif Habib Limited submitted the public announcement of intention as the manager to the offer, though the final transaction remains contingent on regulatory clearances as part of a larger agreement covering Unilever PLC operations worldwide.
Through a formal agreement, McCormick wants to secure 4,876,294 shares, which equals 76.55 percent of the total shareholding. Officials have not yet finalized the exact amount of shares that will be targeted in a later public offer.
Deal Remains Subject to Regulatory Approval
Unilever PLC and McCormick reached an agreement on March 31, 2026, for the overarching global transaction. McCormick aims to obtain sole control over nearly all of the worldwide food operations of Unilever PLC, with specific exclusions agreed upon by both parties, and Unilever Pakistan Foods represents the local subsidiary included in the arrangement.
The disclosure notes that the buyout depends on obtaining mandatory regulatory clearances, such as green lights from the Competition Commission of Pakistan. Authorities could cancel the planned intention notice if officials withhold necessary permissions.
Records show that Unilever Pakistan Foods maintains 6,369,950 ordinary shares, with a face value of Rs. 10 per share. On the day prior to the announcement, the share price hit Rs. 25,352, and the weighted average share price reached Rs. 25,308 between September 23 and October 20, 2026.
Upon completion, the combined entity will generate annual revenue approaching $20 billion. This agreement unites popular brand names such as Knorr, Hellmann's, French's, and Cholula.
Established in 1889 with headquarters in Maryland, United States, McCormick produces, sells, and ships seasonings, herbs, spices, condiments, sauces, and additional flavoring goods. The enterprise serves food and beverage sectors across roughly 150 territories and countries, and this move for the Pakistani division feeds into its broader worldwide food business expansion strategy.
